ConvoPLUS Application Terms of Service

Welcome to ConvoPLUS (https://convoplus.com), a Social CRM platform operated and owned by Convo Technology Inc. (“Company”, “we”, “us”, or “our”).

By accessing, registering for, or using the ConvoPLUS application, website, tools, and associated services (collectively, the “Services”), you (“User”, “Customer”, or “you”) agree to be legally bound by these Application Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our Services.

1. Acceptance of Terms

By creating an account, connecting third-party social media accounts, or using any feature of ConvoPLUS, you confirm that:

1. You are at least 18 years of age or the legal age of majority in your jurisdiction.
2. You have the legal authority to enter into these Terms personally or on behalf of the entity you represent.
3. You agree to comply with these Terms, our Privacybeleid, and our Beleid Voor Passend Gebruik.

2. Description of Service

ConvoPLUS is a SaaS-based Social CRM platform that enables businesses, brands, and individuals to manage, monitor, analyze, and publish content across multiple social media platforms, as well as interact with customer communications from a centralized interface.

3. User Accounts and Security

• Account Registration: To access the platform, you must register for an account by providing accurate, current, and complete information.
• Account Credentials: You are solely responsible for maintaining the confidentiality of your account credentials (usernames, passwords, API keys) and for all activities that occur under your account.
• Unauthorized Access: You must immediately notify ConvoPLUS at info@convoplus.com if you suspect or become aware of any unauthorized use of your account or security breach.

4. Third-Party Platform Integrations & Google API Services

ConvoPLUS enables integration with third-party social networks, messaging systems, and API providers, including Google LLC services (such as Google OAuth, YouTube API Services, and Google Workspace integrations).

4.1. General Third-Party Terms

When connecting third-party accounts to ConvoPLUS, you acknowledge and agree to abide by the terms of service and privacy policies of those respective third-party platforms. ConvoPLUS is not responsible for the availability, features, or restrictions imposed by third-party services.

4.2. Google API Compliance & Limited Use Disclosure

• Compliance with Google Policies: ConvoPLUS’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
• Data Access & Consent: ConvoPLUS requests access only to the explicit scope of permissions authorized by you through the Google OAuth consent screen.
• Data Usage: Data fetched via Google APIs is processed solely to provide, operate, maintain, and improve the Social CRM capabilities of ConvoPLUS (e.g., displaying channel statistics, managing video comments, or scheduling content).
• No Data Sale: ConvoPLUS does not sell, rent, or trade personal data obtained via Google APIs to third parties or advertising networks.
• Revocation of Access: You may disconnect your Google account from ConvoPLUS at any time via your account settings within our application. You may also directly revoke ConvoPLUS’s access to your Google account via the Google Security Settings page.
• Data Deletion Upon Disconnection: When you disconnect a Google account or terminate your ConvoPLUS account, access tokens are permanently revoked, and associated cached Google user data is deleted in accordance with our Privacybeleid.

5. Acceptable Use and Restrictions

Your use of ConvoPLUS must strictly conform to our Beleid Voor Passend Gebruik.

Without limiting the generalities of that policy, you expressly agree NOT to:

• Send spam, unsolicited bulk communications, or buy unconfirmed contact lists.
• Violate copyright, trademark, privacy, or publicity rights of third parties.
• Reverse engineer, decompile, or attempt to extract the source code of the ConvoPLUS platform.
• Introduce viruses, malware, or interfere with system security or integrity.
• Use the platform to facilitate unlawful activities, hate speech, harassment, or unlawful discrimination.
• Violation of these restrictions may result in immediate suspension or termination of your account without notice.

6. Data Privacy and Security

Your privacy is important to us. How we collect, store, process, and protect your personal information and user content is described in detail in our Privacybeleid. By using ConvoPLUS, you consent to our data collection and processing practices outlined therein.

7. Intellectual Property

• Ownership: Convo Technology Inc. retains all right, title, and interest (including all patent, copyright, trade secret, and trademark rights) in and to the ConvoPLUS application, branding, user interfaces, software code, and documentation.
• User Content: You retain ownership of all content, graphics, text, and media that you upload, submit, or transmit through ConvoPLUS. By using the platform, you grant ConvoPLUS a worldwide, royalty-free license to host, process, and display your content solely to the extent necessary to provide the Services to you.

8. Fees, Payment, and Fair Use

• Subscriptions: Access to certain features or plans requires payment of subscription fees. Fees are billed on a recurring basis as selected at checkout.
• Fair Use Policy: To maintain service quality for all users, ConvoPLUS enforces a fair use policy regarding API calls, data usage, and server resources. Excessive usage beyond ordinary business needs may lead to rate limiting, tier adjustments, or additional fees.

9. Termination and Suspension

• Termination by User: You may stop using the application and terminate your account at any time via your account dashboard or by contacting us.
• Termination by Company: ConvoPLUS reserves the right to suspend or terminate your access to the platform at any time, with or without cause or prior notice, including for any breach of these Terms or the Acceptable Use Policy.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CONVOTECHNOLOGY INC. DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONVO TECHNOLOGY INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Convo Technology Inc., its affiliates, officers, directors, and employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

1. Your use of and access to ConvoPLUS.
2. Your violation of these Terms or the Acceptable Use Policy.
3. Your violation of any third-party right, including intellectual property or privacy rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Courts and Execution Offices of Istanbul, Turkey.

14. Changes to Terms

ConvoPLUS reserves the right to modify or replace these Terms at any time. We will publish updated versions on our website ([https://convoplus.com](https://convoplus.com)). Your continued use of the application following the posting of modifications constitutes your acceptance of such changes.
